1. Agreement

These Terms of Service (Terms) govern your use of ShopSignal. By installing the ShopSignal Chrome extension, creating an account, or using any part of the ShopSignal service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not install or use ShopSignal.

The ShopSignal service (the Service), including the ShopSignal Chrome extension and the website at shopsignal.fyi, is operated by Kab-Link Pty Ltd (ACN [ACN PENDING] / ABN [ABN PENDING]), a proprietary limited company incorporated in Australia with its registered office in Adelaide, South Australia (we, us, our, or ShopSignal). ShopSignal is a product of Kab-Link Pty Ltd.

2. What ShopSignal is

ShopSignal is a Chrome browser extension that helps Etsy sellers improve their listings. It reads listing data from your authenticated Etsy seller dashboard, scores each listing against our understanding of Etsy's current search rules, and suggests optimised titles, tags, and descriptions.

ShopSignal includes a companion backend service for generating listing rewrites and managing your account, subscription, and usage.

ShopSignal is a productivity tool. It is not an agent, broker, or employee of Etsy. It does not guarantee any particular search ranking, sales volume, or business outcome.

3. Eligibility

To use ShopSignal you must:

You must only use ShopSignal with Etsy shops that you own or are authorised to manage. Using ShopSignal on a shop you do not own or have authority over is a breach of these Terms.

4. Your account

To use most ShopSignal features, you need a ShopSignal account. We authenticate accounts using a one-time code sent to your email address. We do not ask for, store, or have access to your Etsy password.

5. Free and paid plans

ShopSignal offers a free plan and paid subscription plans. Current plan details and pricing are published on our website. In summary:

We may add, change, remove, or re-tier features from time to time. Where a change materially reduces a feature you currently pay for, we will give you at least 30 days' notice and offer you a reasonable alternative, a reduced price, or a pro-rata refund for the unused portion of your current paid period.

6. Billing, renewals, and refunds

Paid subscriptions are billed monthly in advance through our payment processor, Stripe. By starting a paid subscription, you authorise us (via Stripe) to charge your nominated payment method at the start of each billing period.

Automatic renewal

Paid subscriptions renew automatically each month until you cancel. You can cancel at any time from your billing portal. When you cancel, your paid features remain active until the end of the current paid period, after which your account reverts to the free plan.

Price changes

We may change our subscription prices. If we do, we will give you at least 30 days' notice by email and through the Service before the new price applies to you. If you do not agree to the new price, you can cancel before it takes effect.

Refunds

Subscription fees are generally non-refundable, including for partial months. We do not provide refunds for unused time after you cancel, unused rewrites, or periods during which you chose not to use the Service.

This does not limit any rights you have under the Australian Consumer Law, including the right to a refund where a consumer guarantee under the Australian Consumer Law has not been met (see section 16).

Failed payments

If a payment fails, we may retry the charge, suspend your paid features, or downgrade your account to the free plan. We will attempt to notify you by email before suspending access.

Tax

Prices shown on our website are in Australian dollars (AUD) unless otherwise stated. Where applicable, prices may be exclusive of Goods and Services Tax (GST) or other taxes, which will be added at checkout or on your invoice.

7. Coupons and promotions

From time to time we run promotions and offer discount coupons. Each coupon has its own terms, which may include:

For example, EARLYACCESS50 gives 50% off the first month of a paid subscription, is limited in the number of redemptions, and applies to new paid subscribers only. We may withdraw, change, or extend any promotion at any time without notice.

Coupons have no cash value, cannot be combined with other offers unless we say so, and cannot be transferred.

9. Relationship to Etsy

Independent service ShopSignal is not affiliated with, endorsed by, sponsored by, or associated with Etsy, Inc. We are an independent service that reads data from the Etsy seller dashboard you are already signed into.

Your use of Etsy is governed by Etsy's own terms of use and policies. Nothing in these Terms modifies, replaces, or overrides your obligations to Etsy. If Etsy's rules or technology change, ShopSignal may need to update, pause, or remove features to remain compatible. We will use reasonable efforts to keep the Service working, but we cannot guarantee uninterrupted compatibility with Etsy.

If Etsy takes action against your shop or account for any reason, that is between you and Etsy. We are not responsible for Etsy's actions.

10. Automated suggestions and content

ShopSignal generates suggested titles, tags, descriptions, and other listing content using automated systems. These are suggestions only. You are responsible for reviewing every suggestion and choosing whether to apply it to your listing. Nothing is published to Etsy without you clicking to apply it and then publishing the change yourself in Etsy.

We do not guarantee:

You should review every suggestion against Etsy's current rules, your product, and your own judgement before applying it.

11. Intellectual property

Your content

Your listing content, product information, photos, and shop data remain yours. By using ShopSignal, you grant us a limited, non-exclusive, royalty-free licence to access, read, process, and transform that content for the sole purpose of providing the Service to you (for example, scoring your listings and generating rewrites).

We do not claim ownership of your content, we do not use your listing content to train public models, and we do not sell your content.

Our content

ShopSignal, the name, the logo, the website, the extension code, the scoring methodology, the rewrite prompts and systems, documentation, and marketing content are owned by Kab-Link Pty Ltd and protected by copyright, trade mark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own Etsy business while you have an active account in good standing. No other rights are granted.

Feedback

If you send us ideas, suggestions, bug reports, or feedback about ShopSignal, you grant us a perpetual, royalty-free, worldwide licence to use that feedback to improve the Service, without obligation to you.

12. Privacy

Your privacy is covered by our Privacy Policy, which forms part of these Terms. It explains what information we collect, how we use it, where it is stored, and your rights.

13. Service availability

We provide the Service on a reasonable-efforts basis. We do not offer an uptime service level agreement on any plan.

14. Changes to the Service

We may update, change, improve, or remove features of the Service at any time. We will use reasonable efforts to notify you of significant changes through the extension, our website, or email.

We may also change, add, or remove third-party integrations (for example, if a provider we rely on changes its terms, pricing, or availability).

15. Termination

By you

You can stop using ShopSignal at any time by uninstalling the extension. You can cancel a paid subscription at any time from your billing portal. Your paid features remain active until the end of the current paid period.

We may suspend or terminate your access to the Service if:

If we terminate your paid subscription for a reason other than your breach, we will refund the unused portion of your current paid period on a pro-rata basis.

What survives termination

Sections that by their nature should survive termination will do so, including intellectual property (section 11), disclaimers and liability (section 16), Australian Consumer Law (section 17), and governing law (section 18).

16. Disclaimers and liability

To the maximum extent permitted by law, and subject to section 17 (Australian Consumer Law):

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, free of harmful code, accurate, complete, up-to-date, or that it will meet your requirements or produce any particular result.

No guarantee of outcomes

We do not warrant or guarantee any particular result from using the Service, including any particular search ranking on Etsy, any increase in traffic, views, favourites, or sales, any particular revenue, profit, or business outcome, or continuous compatibility with Etsy's systems or policies.

Liability cap

To the extent permitted by law, our total aggregate liability to you arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), under statute, or otherwise, is limited to the greater of:

Excluded losses

To the extent permitted by law, we are not liable for any indirect, incidental, special, consequential, punitive, or exemplary loss, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of opportunity, loss of data, or the cost of substitute services, even if we were advised of the possibility of such loss.

Your indemnity

You agree to indemnify us against any loss, damage, cost, or liability we suffer or incur as a result of your breach of these Terms, your misuse of the Service, or your breach of any law or third-party right (including Etsy's terms).

17. Australian Consumer Law

Important Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be lawfully excluded, restricted, or modified.

Our Service comes with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the Service you are entitled to cancel your subscription and obtain a refund for the unused portion, or to compensation for a reduction in value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time.

Where we are entitled to do so under section 64A of the Australian Consumer Law (because the Service is not of a kind ordinarily acquired for personal, domestic, or household use or consumption), our liability for failure to comply with a consumer guarantee (other than guarantees under sections 51 to 53 of the Australian Consumer Law) is limited, at our option, to:

18. Governing law and jurisdiction

These Terms are governed by the laws in force in South Australia, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of South Australia and the courts of appeal from them, except that either party may seek interim or injunctive relief in any court of competent jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Nothing in this section limits rights that a consumer has under the Australian Consumer Law which cannot be excluded or modified by agreement.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the extension, our website, or by email (using the address you gave us) at least 14 days before the changes take effect. Minor clarifications or corrections may take effect immediately on posting.

Your continued use of the Service after the effective date of any change means you accept the updated Terms. If you do not agree to a change, you should stop using the Service and cancel any paid subscription before the change takes effect.

The "Last updated" date at the top of this page reflects the most recent revision.

20. General

Entire agreement

These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service, and supersede any prior agreement or understanding about the Service.

No waiver

If we do not enforce a right or provision of these Terms on any occasion, that is not a waiver of our right to enforce it on any other occasion.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect. If possible, the invalid provision will be read down to the extent necessary to make it valid and enforceable.

Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms (for example, as part of a corporate restructure or sale of the business) by giving you reasonable notice.

Force majeure

We are not liable for any failure or delay in performing our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including internet outages, third-party provider failures, natural disasters, acts of government, or changes to Etsy's systems or policies.

Relationship

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
